Every year after

• Annual Report: $25, filed every year. Due: Between January 1 and June 30 each year.
• First one: January 1 to June 30 of the year after formation.
• If you're late: $25 late fee ($50 total if paid after June 30); failure to file may lead to administrative dissolution.

Worth knowing

• Formation costs $100 for an LLC or corporation and $25 for a nonprofit.
• Every entity files a $25 annual report between January 1 and June 30 of each year after formation; late filers pay $50 extra ($25 for nonprofits).
• Since July 1, 2026, businesses with five or more years of on-time filings can elect biennial reporting ($50 every two years).
• Veteran-owned businesses are exempt from formation fees and from annual report fees for their first four years.

Registered agent

A registered agent may not be required. For LLCs, an in-state agent for service of process is optional (the Secretary of State serves as attorney-in-fact). A designated office address and its county must be listed. Agent changes are filed on Form AAO ($15). You can serve as your own agent if you have a qualifying address; paid services usually charge a yearly fee.
