Every year after

• Annual Registration Fee (no separate annual report for LLCs): $50, filed every year. Due: By the last day of the LLC's formation (anniversary) month each year.
• First one: By the last day of the twelfth month after the month of formation (end of the anniversary month one year later).
• If you're late: $25 penalty; continued nonpayment leads to automatic cancellation of the LLC's existence after notice.

Worth knowing

• Forming an LLC costs $100; a stock corporation costs $75 ($25 filing fee plus a $50 charter fee for up to 25,000 authorized shares).
• LLCs pay a $50 annual registration fee by the end of their anniversary month; there is no separate LLC annual report.
• Corporations file an annual report and pay an annual registration fee ($50 for up to 5,000 authorized shares).
• Assumed names are filed with the SCC for $10.

Registered agent

Virginia requires a registered agent. Registered agent must be a Virginia resident who is a member/manager/officer/director or a Virginia State Bar member, or a registered entity authorized to act as agent, with a Virginia registered office. You can serve as your own agent if you have a qualifying address; paid services usually charge a yearly fee.
